Model of organization, management and control 231/2001

The Company’s business is based on an effective internal control system, which allows the company to be run ethically and consistently with its objectives, through an adequate process of managing the main risks, capable of creating lasting value for shareholders and all stakeholders.

Zato has always been committed to operating in full compliance with the values of integrity and transparency that are the essence of our company culture and that everyone must know and respect. In the same way, it is essential for us to share the path taken by the Company with the outside world, to show you how we intend to carry on the business, continuing to invest in the growth of a culture of compliance.

Zato has adopted a system for managing reports – including anonymous reports, provided they are adequately detailed – relating to unlawful or illegal conduct.

Reports can be made in writing or orally, using the methods described in the Whistleblowing Policy and aimed at guaranteeing confidentiality regarding the identity of the whistleblower. Reports will be handled by the Company’s Supervisory Body.

Whistleblowers acting in good faith are protected from any form of discrimination, retaliation or penalisation, and the correct fulfilment of the duty to report cannot determine the establishment of disciplinary proceedings, nor the application of the relative sanctions. The adoption of the aforementioned system does not preclude, in any case, the reporting of any violations of laws or government regulations to the competent authority.

The Organisational Model, the Code of Ethics and the Policy, designed to inspire and guide the behaviour of Zato’s staff and all our stakeholders, are at your disposal.
